How to register a lease agreement

A lease agreement is a fundamental document entered into between the landlord and the tenant, and registration is mandatory if the duration of the contract exceeds 30 days. The landlord must register the lease within 30 days of signing and notify the tenant and, where applicable, the building manager within 60 days. There are 3 methods available for registering the contract with the Italian Revenue Agency (Agenzia delle Entrate): paper-based, online, or through a third-party intermediary.

Paper-based contract registration: In the case of paper-based registration of the lease agreement, you must use the RLI 2019 form and visit an Italian Revenue Agency (Agenzia delle Entrate) office. Additionally, a revenue stamp (imposta di bollo) of 16 euros is required for every 100 lines of the contract, along with the receipt of the registration tax payment made via the F24 ELIDE form, two copies of the contract, and any additional documents.

Online contract registration: Online registration is mandatory for those who own more than 10 properties and for real estate agents, while it is optional for other individuals. To register a lease agreement online, you must register for Fisconline/Entratel services to access the RLI software, which allows you to pay revenue stamps and registration taxes directly online.

Contract registration via a third party: The final registration method involves a third-party intermediary, such as an accountant (commercialista), a trade association, or a CAF (Tax Assistance Center). These intermediaries commit, through a dated and signed declaration, to registering the contract and making the required payments within the established deadlines.
How much does a lease agreement cost?

The costs of a lease agreement vary depending on the property, while the registration tax, split equally (50/50) between the landlord and the tenant, is:
- 2% of the annual rent multiplied by the number of years for residential buildings;
- 1% of the annual rent if the lease is carried out by VAT-registered entities for residential buildings;
- 2% of the rent for commercial or industrial buildings (instrumental by nature);
- 0.5% of the annual consideration multiplied by the number of years for agricultural lands (fondi rustici);
- 2% of the annual consideration multiplied by the number of years for all other types of property.

For subsidized rent contracts (canone concordato) regarding properties located in municipalities with a high housing shortage, a 30% reduction of the taxable base used to calculate the registration tax is provided.

If the lease agreement is for multiple years, there are 2 options: pay the tax due for the entire duration of the contract at the time of registration (in which case you are entitled to a discount), or pay an annual installment within 30 days of the expiration of the previous year.

Flat-rate tax (Cedolare secca): an advantageous solution At the time of signing the contract, you can opt for the flat-rate tax (cedolare secca) regime, which exempts you from paying registration tax and revenue stamps; however, it is not possible to apply rent increases (inflation adjustments) during the term of the contract. The flat-rate tax is a valid option for residential properties falling within cadastral categories A1 to A11 (excluding A10). For commercial premises to qualify for the flat-rate tax regime, they must fall under cadastral category C/1 and have a surface area not exceeding 600 sqm. With the flat-rate tax, when calculating the substitute tax, a 21% rate must be applied to the annual rent.

A lease is a contract by which one party (landlord/locatore) grants another party (tenant/locatario or conduttore) the use of movable or immovable property in exchange for a monetary consideration for a specified period of time.
Depending on the intended use of the property being rented, contracts can be for residential use or other uses (commercial/professional).Residential lease contracts involve properties rented for the purpose of being inhabited by the tenant or their family; there are several types, specifically:
- Free-market rent (Canone Libero): also known as a “four plus four” (4+4) contract, this is the most common type. It allows the parties the freedom to determine the rent, payment methods, and other elements such as ISTAT (inflation) adjustments, with the exception of the duration (set by law at four years, followed by an automatic four-year renewal) and the specific cases for contract termination (notice must be given at least six months before expiration);
- Subsidized rent (Canone Concordato): this contract is characterized by tax benefits for the landlord (IRPEF, IMU, and registration tax) and the fact that the rent is determined based on regional tables agreed upon by local landlord and tenant organizations. It has an initial duration of three years, renewing automatically for another two (3+2), unless otherwise agreed, and must be drafted using the official template specified by Ministerial Decree Jan 16, 2017;
- Transitional lease (Contratto Transitorio): signed under the conditions of Ministerial Decree Jan 16, 2017, using the attached official template. It has a duration ranging from one month to eighteen months, provided it is justified by specific needs (work assignment, study, professional internship, etc.) documented in the contract with a specific declaration;
- Student lease: duration varies from six to thirty-six months and renews automatically for the same period upon expiration, unless cancelled by the tenant with one month’s notice (three months in some municipalities). It can be signed where there are university hubs, specialized schools, or higher education institutes, and can be signed by individual students, groups of non-resident students, or student housing agencies. Constraints apply to both the rent (based on territorial agreements) and ancillary clauses;
- Tourist lease: excluded from the scope of Law 431/98, parties are granted significant freedom to negotiate according to their needs; there is no minimum duration, and it expires automatically at the end of the term;
- Loan for use (Comodato d’uso): a contract provided free of charge (gratuitous) to grant the use of a property, establishing the obligation to return it upon the agreed deadline or, in the case of an open-ended agreement, as soon as the lender requests it.

Leases for use other than residential involve the rental of properties used for the following activities:
- Commercial, industrial, artisanal, professional, and tourism: the contract has a duration of six years with an automatic renewal for another six years. The tenant can prevent the renewal by sending a registered letter to the landlord at least twelve months before the expiration date;
- Hotel and theatrical: the contract has a duration of nine years with an automatic renewal for another nine years. Similarly, this can be prevented by the tenant by sending a registered letter to the landlord eighteen months before the expiration date.
The content of lease agreements may vary depending on the type of contract chosen and the agreements made between the parties; however, there are certain essential elements that must be included, otherwise the agreement is null and void:
- the date of signing;
- the personal details of the parties (landlord and tenant);
- the identification of the property;
- the amount of the rent;
- the duration of the lease;
- any additional or ancillary clauses.
The registration of a residential lease agreement is mandatory if its duration exceeds a total of 30 days per year, or if it is drawn up as a public deed or an authenticated private agreement.
